Alpha Solvent Terms of Service | Using Our Services

1. Acceptance

By accessing alphasolvent.com or engaging our consulting or development services ("Services"), you agree to these Terms of Service ("Terms"). If you do not accept them, do not use the Site or our Services.

2. Who we are

Alpha Solvent ("we", "us", "our") is a remote-first software-engineering consultancy headquartered in Dhaka, Bangladesh. Headquarters and contact details appear in our footer and About section alphasolvent.com.

3. Scope of Services

We design, build and maintain bespoke software, AI/automation systems, and e-commerce solutions for business clients. Statements such as "99.9 % on-time delivery" are targets, not guarantees alphasolvent.com.

4. Using the Site

You may browse the Site for personal or business evaluation. You must not:

•copy, reverse-engineer or resell Site content or code;
•interfere with Site security or availability;
•use the Site to transmit malware, spam or unlawful content.

We may suspend or block access for suspected abuse.

5. Proposals & Engagements

Proposals are valid for 30 days unless stated otherwise.

Work begins only after both parties sign a Statement of Work ("SOW") or equivalent agreement and you pay any stated deposit.

Unless the SOW overrides it, time-and-materials work is billed bi-weekly; fixed-price deliverables are invoiced on milestones.

6. Fees & Payment

Invoices are due 14 days from issue date. Late payments accrue 1.5 % interest per month (or the maximum lawful rate). You are responsible for any taxes, duties or bank fees unless exemption certificates are provided.

7. Intellectual Property

Pre-existing IP – Each party retains rights to IP it owned before the project.

Deliverables – Upon full payment, we assign you worldwide, royalty-free rights to use the deliverables for your internal or commercial purposes, subject to third-party-license terms we identify in writing.

We reserve the right to reference non-confidential aspects of projects in our portfolio.

8. Confidentiality

Information marked confidential or reasonably understood as such (including source code, business strategies and trade secrets) must be kept secret with the same care you use for your own confidential data, for 5 years after disclosure (or longer if required by law).

9. Disclaimers

The Site and Services are provided "as is" and "as available". Except as expressly set out in an SOW or mandatory law, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free or secure.

10. Limitation of Liability

To the fullest extent allowed by law, our total liability (whether in contract, tort or otherwise) is capped at the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, punitive or special damages, or lost profits, even if advised of the possibility.

11. Indemnification

You agree to indemnify and hold Alpha Solvent harmless from any third-party claims arising from your misuse of the Site, violation of these Terms, or infringement of others' rights, except to the extent caused by our negligence or willful misconduct.

12. Termination

Either party may terminate an SOW for material breach that remains uncured for 15 days after written notice. Clauses on payment, IP, confidentiality, disclaimers and liability survive termination.

13. Governing Law & Venue

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-laws principles. Courts located in Dhaka have exclusive jurisdiction, but we may seek injunctive relief in any forum to protect IP or confidential information.

14. Changes to the Terms

We may update these Terms to reflect legal, technical or business changes. Material changes will be announced via the Site footer or an in-app/banner notice. Continued use of the Site after changes means you accept the revised Terms.
